These Terms of Service ("Terms") govern your use of the Olivine service ("Service") provided by Olivine ("Olivine," "we," "us," or "our"). By using the Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Olivine is a receipt tracking and expense management service for film and TV production. The Service includes:

• SMS Receipt Submission: Crew members text photos of receipts to a designated phone number.
• AI-Powered Extraction: We use artificial intelligence to extract vendor, amount, date, and other data from receipt images.
• Topsheet Synchronization: Extracted data is automatically synced to Google Sheets or other connected services.
• Web Dashboard: Producers access a dashboard to review, correct, and manage receipts.

3. User Accounts

Account Creation

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access to your account.

Account Termination

We may suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Acceptable Use

Permitted Uses

You may use the Service only for lawful business purposes related to expense tracking and production management.

Prohibited Activities

You agree not to:

• Submit fraudulent or falsified receipts
• Use the Service for any illegal purpose
• Attempt to access other users' data without authorization
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service without permission
• Transmit viruses, malware, or harmful code

5. Subscription and Billing

Pricing

The Service is offered on a pay-per-use basis. Current pricing is $0.20 per receipt processed. Pricing is subject to change with 30 days notice.

Payment

Payments are processed securely by Stripe. By providing payment information, you authorize us to charge your payment method for amounts due.

Refunds

Charges for successfully processed receipts are non-refundable. If you believe you were charged in error, contact support within 30 days.

6. Intellectual Property

Our Ownership

The Service, including all software, design, and content, is owned by Olivine and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service.

Your Data

You retain ownership of the data you submit to the Service, including receipt images and extracted data. By using the Service, you grant us a license to use your data solely to operate and improve the Service.

7. Third-Party Services

The Service integrates with third-party services including Google Sheets, Dropbox, and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or functionality of third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• AI extraction will be 100% accurate
• The Service is suitable for any particular purpose

The Service is not a substitute for professional accounting or tax advice. Always verify extracted data and consult qualified professionals for financial matters.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLIVINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability for any claims arising from your use of the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

10. Indemnification

You agree to indemnify and hold harmless Olivine, its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.

12. Termination

By You

You may terminate your account at any time by contacting support or using account settings. Termination does not entitle you to a refund of any fees paid.

By Us

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. We will make reasonable efforts to notify you.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period, subject to legal requirements.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
